PLEASE READ THESE TERMS OF SERVICE (“Terms”) CAREFULLY. By accessing or using the Wizerpath website, mobile site, applications, products, or services (collectively, the “Platform”) you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy (together, the “Policies”). If you do not agree, do not access or use the Platform.
1. Acceptance of Terms
By using the Platform you: (a) affirm that you are at least 18 years old (or the legal age of majority in your jurisdiction) and legally capable of entering into these Terms; and (b) accept these Terms on behalf of yourself and any entity you represent.
2. Services Description
Wizerpath provides career support services including (i) personalised career coaching, (ii) a digital marketplace that matches users with professionals offering career related services, and (iii) job specific guidance from professionals already working in target roles (together, the “Services”).
3. Definitions
For clarity, the following definitions apply throughout these Terms:
• “Service Provider(s)” means any coach, mentor, advisor, marketplace provider, or other independent professional who offers services to users through the Platform.
• “User”, “you”, and “your” mean the individual or entity that accesses or uses the Platform.
4. Eligibility
You must have legal capacity to contract and must not be barred from receiving Services under applicable laws.
5. Fees, Payments and Credits
All prices are payable in advance at checkout, inclusive of any applicable taxes.
5.1 Change of Mind: Wizerpath does not provide refunds or credits for change of mind or discretionary cancellations.
5.2 Cancellation or Rescheduling with at least Twenty Four (24) Hours’ Notice: You may cancel or reschedule a booked session at no charge. A Platform credit or a one time free reschedule of that session will be provided.
5.3 Late Cancellation or No Show: Cancelling less than twenty four (24) hours before the scheduled start time, or failing to attend, forfeits the session fee and no credit is provided.
5.4 Unused Package Sessions: For requests made within thirty (30) days of purchase to cancel unused package sessions, a pro rata Platform credit (calculated at the package per session rate) will be issued.
5.5 Provider or Platform Cancellation: If a session is cancelled by a Service Provider or cannot be delivered due to a Platform fault, you may elect either a free reschedule or a Platform credit.
5.6 Credit Issuance and Expiry: Credits are applied to your account within ten (10) business days of approval and expire twelve (12) months after the date of issue.
Wizerpath does not offer cash refunds except where required under the Australian Consumer Law.

7. Service Providers and Marketplace Service Providers
are independent contractors, not employees or agents of Wizerpath. Wizerpath does not warrant the qualifications, expertise, or advice of any Service Provider and is not liable for interactions between users and Service Providers.
8. Non Solicitation and Off Platform Contact
All communication, engagement, and payment with any Service Provider must occur exclusively through the Platform. You shall not, during your use of the Platform and for twelve (12) months thereafter, directly or indirectly solicit, engage, or attempt to solicit or engage any Service Provider outside of the Platform without Wizerpath’s prior written consent. A breach of this clause is a material violation of these Terms and may result in account suspension or termination and liability for resulting damages or losses.
9. Intellectual Property Rights
All software, text, graphics, logos, and other materials on the Platform are owned by or licensed to Wizerpath and are protected by intellectual property laws. Except as expressly authorised, you may not reproduce, distribute, or create derivative works from any part of the Platform.
10. User Content Licence
By submitting content to the Platform, you grant Wizerpath a worldwide, non exclusive, royalty free licence to use, reproduce, modify, adapt, publish, and display such content for the operation of the Platform. You retain all ownership of your content.
11. Third Party Links and Resources
The Platform may contain links to third party websites or resources. Wizerpath is not responsible for the content, products, or services on or available from those resources.
12. Disclaimers
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WIZERPATH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT. WIZERPATH DOES NOT GUARANTEE THAT THE SERVICES WILL LEAD TO EMPLOYMENT, CAREER ADVANCEMENT, OR SPECIFIC OUTCOMES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIZERPATH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD WILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (a) YOUR USE OR INABILITY TO USE THE PLATFORM; (b) ANY CONTENT OR CONDUCT OF ANY THIRD PARTY; OR (c) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR CONTENT. WIZERPATH’S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO WIZERPATH IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) AUD $100.
14. Indemnification
You agree to fully indemnify, defend, and hold harmless Wizerpath, its parent, subsidiaries, affiliates, partners, directors, officers, employees, contractors, Service Providers, agents, licensors, and service providers (collectively, “Indemnified Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms; (b) your misuse of the Platform or Services; (c) your content; or (d) your violation of any law or the rights of a third party.
15. Termination and Suspension
Wizerpath may suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms or applicable laws. You may stop using the Platform at any time. Sections 7–18 survive termination.
16. Changes to the Services or Terms
We may modify the Services or these Terms at any time. We will post the revised Terms and update the Effective Date. Continued use of the Platform after changes constitutes acceptance.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Victoria, Australia, without regard to conflict of law provisions. You and Wizerpath agree to submit to the exclusive jurisdiction of the courts located in Melbourne, Victoria, Australia. Before filing a court action, the parties will attempt to resolve disputes through good faith negotiations for at least 30 days.
18. Miscellaneous
If any provision of these Terms is held invalid, the remaining provisions will remain in full force and effect. Failure to enforce any right does not waive it. You may not assign these Terms without Wizerpath’s prior written consent. Wizerpath may assign its rights and obligations without restriction.
